Terms of Service

These Terms of Service ("Terms") govern access to and use of the Verimetriq platform ("Service") operated by NOETIKOS LTD ("we", "us"), registered at 66 Paul Street, London, EC2A 4NA, United Kingdom. By creating an account or using the Service you agree to these Terms.

1. The Service

Verimetriq is a subscription-based analytics dashboard that consolidates marketing data from third-party sources you connect (such as Google Analytics 4, Google Ads, Google Search Console, Google Merchant Center and CRM systems) into a single interface. The Service visualises and aggregates data; it does not modify data held in your connected sources.

2. Accounts and organisations

• You must provide accurate registration information and keep your credentials confidential.
• You are responsible for all activity under your organisation's accounts, including users you invite.
• You must be legally capable of entering into this agreement on behalf of your organisation.

3. Your keys, your data (BYOK)

• You connect the Service to third-party data sources using your own API credentials and OAuth grants.
• Those credentials, and the data retrieved with them, remain your property. We store credentials encrypted and use them solely to retrieve data on your behalf.
• You are responsible for having the right to connect each source and for complying with the terms of the respective providers (e.g. Google APIs Terms of Service).
• You can revoke access at any time by removing credentials from the Service or revoking grants with the provider.

4. Subscriptions and payment

• The Service is offered on paid monthly subscription plans with usage limits (number of connected accounts, users, and depth of historical data) described on the pricing page.
• Payments are processed by Stripe. We do not store card details.
• Fees are charged in advance for each billing period. Prices include VAT. Payments are processed by Stripe acting as merchant of record, which calculates and remits applicable taxes and issues the receipt.
• Cancellation and refunds are governed by our Refund & Cancellation Policy.

5. Acceptable use

You agree not to:

• use the Service to violate any law or third-party rights;
• attempt to gain unauthorised access to the Service, other customers' data, or underlying infrastructure;
• resell or provide the Service to third parties except for users within your organisation and plan limits;
• interfere with the integrity or performance of the Service (including automated abuse or load attacks).

6. Availability and changes

We aim to keep the Service available continuously but do not guarantee uninterrupted operation. We may modify features with reasonable notice for material changes. Data retrieved from third-party providers depends on the availability and policies of those providers.

7. Intellectual property

The Service, including its software and design, remains our property. You retain all rights to your data. You grant us a limited licence to process your data solely to provide the Service.

8. Warranties and liability

The Service is provided "as is". To the maximum extent permitted by law, our aggregate liability arising out of these Terms is limited to the fees paid by you in the twelve (12) months preceding the claim. We are not liable for indirect or consequential damages, or for decisions made on the basis of analytics presented by the Service.

9. Termination

You may terminate at any time by cancelling your subscription. We may suspend or terminate access for material breach of these Terms with notice. Upon termination we delete your stored credentials and, upon request, your organisation's data, except where retention is required by law.

10. Governing law

These Terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of its courts.
